1. Scope

These Terms & Conditions (“Terms”) apply to all sales, supply, and delivery of wood panel products by HENJADE, including MDF, HDF, Particle Board (PB), MFC, OSB, Film Faced Board, and Core Veneer products (“Products”), whether through our website, direct orders, or quotations.

2. Orders

• All orders must be confirmed in writing via email, fax, or other agreed communication channels.
• HENJADE reserves the right to accept or reject any order at its discretion.
• Special specifications, custom sizes, or new décor designs may require minimum order quantities and lead time confirmation.

3. Prices

• All prices are in the currency stated in the quotation or invoice.
• Prices are EXW/FOB/CFR/CIF as agreed in the contract.
• Prices do not include applicable taxes, duties, customs fees, or insurance unless explicitly stated.

4. Payment Terms

• Standard payment terms are 30% T/T in advance, 70% before shipment, unless otherwise agreed.
• All bank charges are borne by the buyer.
• Orders will not be processed until deposit payment is received.

5. Delivery & Shipping

• Estimated delivery times are indicative and not guaranteed; HENJADE shall not be liable for delays due to force majeure or shipping disruptions.
• Risk of loss or damage passes to the buyer upon delivery according to the agreed Incoterms.
• Export packing is provided as standard; special packing requirements must be agreed in writing and may incur additional charges.

6. Quality & Warranty

• All products are manufactured under HENJADE’s quality control system and comply with the specified standards (CARB P2, FSC, ISO, CE if applicable).
• Any defect claims must be notified in writing within 7 days of receipt, with supporting photos.
• HENJADE’s liability is limited to replacement of defective products or refund of the product cost only.
• HENJADE does not guarantee compatibility with any third-party materials, coatings, or applications unless specified.

7. Intellectual Property

• All product designs, logos, and images are property of HENJADE.
• No reproduction, modification, or commercial use is permitted without HENJADE’s written consent.

8. Force Majeure

HENJADE shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, war, strikes, shipping delays, or governmental actions.

9. Governing Law & Dispute Resolution

• These Terms shall be governed by the laws of the People’s Republic of China.
• Any dispute shall first be resolved through friendly negotiation.
• If unresolved, disputes shall be submitted to Guangzhou Arbitration Commission (CIETAC) for final and binding arbitration.

10. Miscellaneous

• Partial invalidity of any provision does not affect the validity of the remaining provisions.
• Buyer’s acceptance of goods or payment constitutes agreement to these Terms.
• HENJADE reserves the right to update these Terms at any time; updated Terms will be posted on the website.
